By accessing or using Upsite's website and services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.
These Terms constitute a legally binding agreement between you and Upsite. We reserve the right to update or modify these Terms at any time. Continued use of our services after changes constitutes your acceptance of the revised Terms.
Upsite provides web design, development, and digital strategy services including but not limited to: custom website development, landing page creation, website redesigns, SEO & performance optimization, mobile-first design, and conversion strategy consulting.
All services are delivered as agreed upon in individual project proposals or statements of work. Upsite reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.
Upon receipt of full payment, the client is granted full ownership of all custom design assets and code produced specifically for their project, excluding any third-party libraries, frameworks, or tools used in development.
Upsite retains the right to display work completed for clients in its portfolio, case studies, and marketing materials unless explicitly agreed otherwise in writing. Any pre-existing intellectual property owned by Upsite (templates, tools, processes) remains Upsite's exclusive property.
Payment terms are defined in individual project agreements. Generally, a deposit of 50% is required before work commences, with the remaining balance due upon project completion and prior to final delivery.
For retainer or ongoing service agreements, invoices are issued at the start of each billing period and are due within 14 days. Late payments may incur a 1.5% monthly interest charge. Upsite reserves the right to pause or discontinue work on accounts with overdue balances.
You agree to provide accurate, complete, and timely information required for the delivery of services, including brand assets, copy, feedback, and approvals. Delays caused by the client may affect project timelines and are not the responsibility of Upsite.
You represent and warrant that all materials provided to Upsite — including text, images, and trademarks — do not infringe upon the rights of any third party. You agree to indemnify Upsite against any claims arising from client-provided content.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, financial data, unreleased product details, and any information marked as confidential.
This obligation of confidentiality survives the termination of the engagement and continues for a period of two (2) years thereafter, except where disclosure is required by law.
Upsite's services are provided on an "as is" and "as available" basis. While we strive for excellence in all deliverables, Upsite makes no warranties, express or implied, regarding the fitness for a particular purpose, merchantability, or uninterrupted service.
Upsite does not guarantee specific business outcomes such as revenue growth, lead generation, or search engine rankings. Results vary based on many factors outside our control including market conditions, industry competition, and client-side actions.
To the fullest extent permitted by law, Upsite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data arising from the use of our services.
Upsite's total cumulative liability to any client for any claim arising from or related to services rendered shall not exceed the total fees paid by that client in the three (3) months preceding the claim.
Either party may terminate a project or service agreement with 14 days' written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date, including a prorated portion of any fixed-price milestones.
Upsite reserves the right to immediately terminate services without notice in cases of non-payment, breach of these Terms, or if the client engages in unlawful activity.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the use of Upsite's services shall be subject to the exclusive jurisdiction of the courts located in India.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
